1. Introduction: Welcome to Omnius Studio LLC, where we offer subscription-based web design and development services customized to suit each client's dynamic needs.

2. Scope of Services: Our services include website design and development, UI/UX design, custom component creation, and ongoing support for existing projects. All services are provided with an active subscription.

3. Communication and Project Management: To ensure efficient communication and project tracking, we use Trello. Clients are responsible for checking their Trello boards regularly for updates, feedback requests, and progress reports. Any queries or comments posted on Trello will receive prompt responses.

4. Payment and Billing: Our payment system is powered by Stripe. When you subscribe to our services, you authorize recurring monthly charges to your preferred payment method. Your billing cycle will be consistent each month, with charges occurring on the same date. If you have any payment disputes, please make sure to raise them within 14 days of billing.

5. Membership Flexibility and Pausing: Clients can now pause their membership, temporarily suspending new projects while keeping access to consultation and minor support. They will be billed at a reduced rate during this period.

6. Cancellation and Refund Policy: Memberships can be canceled anytime by submitting a written request. The cancellation will come into effect at the end of the current billing cycle. Please note that we are unable to offer refunds for services already rendered due to the digital nature of our service delivery. However, in case of any extenuating circumstances, we will consider refund requests on a case-by-case basis.

7. Intellectual Property: All work created and developed by Omnius Studio LLC will be considered the client's intellectual property upon full payment for the said services. However, Omnius Studio reserves the right to use completed projects for promotional purposes, unless otherwise agreed upon by both parties.

8. Amendments to Terms: We may make updates to these terms and conditions, which will be communicated to our clients via email. The changes will take effect after 30 days of notification.

9. Liability and Dispute Resolution: Omnius Studio LLC is not responsible for any indirect damages that may arise as a result of using our services. In case of any disputes, we will first attempt to resolve them through mediation. If necessary, legal proceedings will be conducted within the jurisdiction of the Omnius Studio LLC's registration.

10. Governing Law: These terms and conditions are subject to the laws of the state or country where Omnius Studio LLC is registered.
